1. Introduction

This End User License Agreement (“Agreement”) governs your access to and use of the Power World Gyms web application (“Application”). By creating an account, accessing, or using the Application, you agree to comply with the terms of this Agreement. If you do not agree, you must discontinue use immediately.

2. License Grant

Subject to your ongoing compliance with this Agreement, we grant you a limited, non-transferable, non-exclusive, revocable license to:

• Access and use the Application solely for personal membership management, fitness-related services, and related functions.
• View, update, and manage your membership details.

No rights are granted to copy, modify, distribute, or otherwise exploit the Application or any associated content unless explicitly permitted in writing.

3. User Accounts & Security

To use the Application, you must create an account and provide accurate, complete, and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• Restricting access to your account
• Promptly notifying us of any unauthorized access or security breach

We are not liable for any loss arising from unauthorized account usage.

4. Acceptable Use

You agree not to:

• Interfere with the Application’s functionality, security, or integrity
• Attempt unauthorized access to any system, network, or data
• Use the Application for fraudulent, unlawful, or abusive purposes
• Upload or transmit harmful code, malware, or automated scripts
• Misrepresent your identity or membership information

Violation of these terms may result in access suspension or legal action.

5. Ownership & Intellectual Property

The Application, including all software, code, design elements, trademarks, databases, and documentation, is the exclusive property of Beckett Capital Pvt Ltd and its licensors.

You acknowledge that:

• The Application is licensed, not sold
• You obtain no ownership rights by using the Application
• All intellectual property rights remain fully reserved by the Company

6. Third-Party Services & Integrations

The Application may integrate with or utilize third-party tools required for service fulfillment, including but not limited to:

• Payment gateways
• Email and SMS service providers
• Cloud hosting platforms
• Analytics tools
• Identity verification and security systems

You agree that:

• Your data may be processed by these third-party providers solely to support Application functionality
• We are not responsible for the content, availability, or performance of third-party systems
• Third-party terms of use may apply where applicable

Such integrations do not constitute endorsement, warranty, or liability on our part.

7. Data Usage & Privacy

Your use of the Application is also governed by the Power World Gyms Privacy Policy, which details:

• What information we collect
• How we store and secure data
• How your data may be processed by third-party applications
• Your rights as a data subject

By using the Application, you consent to the processing of your personal data as described in the Privacy Policy.

8. Service Availability & Modifications

We may, at our discretion:

• Modify, update, or improve the Application
• Suspend access for maintenance or security purposes
• Discontinue certain features or services

We are not liable for any interruptions, delays, or inability to access the Application.

9. Membership & Financial Transactions

All membership purchases, renewals, and financial transactions processed through the Application are governed by Power World Gyms’ membership terms.

You agree that:

• Payment processing may involve third-party providers
• The Company does not store sensitive payment card data unless explicitly stated and compliant with PCI-DSS standards
• Refunds, cancellations, and billing disputes must follow Power World Gyms’ operational policies

10. Limitation of Liability

To the maximum extent permitted by law:

• The Application is provided “as is” without warranties of any kind
• We make no guarantee regarding system uptime, accuracy, or fitness for a particular purpose
• We are not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or access

Our total liability for any claim arising from your use of the Application will not exceed the total membership fees paid by you within the last twelve (12) months.

11. Termination

We reserve the right to terminate or restrict your access immediately if:

• You violate this Agreement
• Fraudulent or unauthorized activity is detected
• Required for legal or regulatory compliance

Upon termination, your license to use the Application will automatically cease.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Sri Lanka. Any disputes shall be resolved through:

1. Internal complaint handling, followed by
2. Arbitration, if informal resolution fails,  the dispute shall be referred to Arbitration.The Arbitration proceedings shall be held in accordance with the Rules of the Arbitration Centre of the Institute for the Development of Commercial Law and Practice (ICLP). The arbitration shall be heard and determined by a sole arbitrator selected by ICLP and the evidence shall be submitted through written submissions. The Parties hereto agree on the English language as the language applicable to the arbitration proceedings. The decision of the arbitrators shall be final and binding upon the parties. The seat of the arbitration shall be Colombo, Sri Lanka. , and
3. Courts of competent jurisdiction, if no alternative resolution is reached

13. Changes to the Agreement

We may update or revise this Agreement from time to time. The updated version will be published with a revised “Effective Date”. Continued use of the Application constitutes acceptance of the updated terms.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. No Waiver

Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

17. Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement to any affiliate or successor without restriction.
